Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legally binding agreement between you and Hey Maddie ("Hey Maddie," "we," "us," or "our") governing your access to and use of the Hey Maddie website, dashboard, SMS/iMessage assistant, and related services (collectively, the "Service").

By texting Maddie, creating an account, subscribing, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Hey Maddie is a personal AI assistant that communicates with you by text and provides a web dashboard where you can track money, health, and goals; manage scheduled tasks; connect Google services; and manage your profile and subscription.

Features may change over time. We may add, modify, or discontinue parts of the Service. Some features require a paid plan, a connected Google account, SMS consent, or other prerequisites.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that the phone number you use is yours (or that you are authorized to use it).

The Service is intended for personal, non-commercial use unless we expressly agree otherwise in writing.

4. Accounts & security

Your account is associated with your phone number. Dashboard access is authenticated with one-time passcodes sent to that number. You are responsible for:

• Maintaining control of your phone number and devices used to access the Service
• Keeping information you provide accurate and up to date
• All activity that occurs through your account and phone number

Notify us promptly at support@heymaddie.app if you believe your account has been accessed without authorization.

5. Text messaging

By texting Maddie or providing SMS consent (including during signup), you agree to receive text messages related to the Service, which may include conversational replies, reminders, check-ins, task-related messages, verification codes, subscription notices, and similar communications. Message and data rates may apply.

• Frequency varies based on how you use the Service and what you ask Maddie to do.
• You may receive proactive follow-up texts about open topics from prior conversations. You can ask Maddie to turn these off.
• Reply STOP to opt out of SMS. Reply START to resume where supported. Opting out may prevent features that rely on texting, including login codes.
• Carriers are not liable for delayed or undelivered messages.

6. Plans, tasks & billing

6.1 Free and Pro plans

The Free plan includes unlimited conversation with Maddie and full product features with a limited number of monthly "tasks" (currently 10 per calendar month; renews automatically). Pro plans (monthly or yearly) unlock unlimited tasks, subject to the plan details shown at checkout and in the product.

Current published pricing (subject to change): Pro Monthly is $24.99 per month; Pro Yearly is $97 per year. Taxes may apply. Promotional pricing or codes may be offered from time to time.

6.2 What counts as a task

A task is generally counted when Maddie takes an action for you, such as sending a scheduled reminder or check-in, running a web search, or performing a Google Calendar, Gmail, or Google Docs action. Ordinary chatting and logging money, health, or goal data typically do not count as tasks. Exact counting rules may be described in-product and may be updated as features evolve.

6.3 Payments and cancellation

Paid subscriptions are processed by Stripe. By purchasing Pro, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. You can manage or cancel your subscription through the billing portal in your dashboard settings. Cancellation generally takes effect at the end of the then-current billing period; you retain access through the end of that period unless otherwise stated.

Except where required by law or expressly stated by us, fees are non-refundable. We do not promise refunds or billing exceptions in chat; contact support@heymaddie.app for billing support.

7. Creator Challenge & promotions

From time to time, Hey Maddie may run creator, affiliate, or promotional programs, including the Founding Creator Challenge described at heymaddie.app/creator-challenge.

7.1 Separate rules apply

Participation in the Founding Creator Challenge requires application approval and is governed by the Official Rules, Affiliate Terms, this Terms of Service, and our Privacy Policy. If there is a conflict about the Challenge, the Official Rules and Affiliate Terms control for approved creators.

7.2 Eligibility and relationship

The Founding Creator Challenge is currently open to selected TikTok creators who are United States residents and at least 18 years old. Approved creators participate as independent promoters, not as employees, partners, or agents of Hey Maddie. Submission of an application does not guarantee acceptance.

7.3 Referrals, commissions, and prizes

Creator links, attribution, qualified signups, commissions, rankings, and prize amounts are determined using Hey Maddie's server-side records and verification processes. Displayed prize or commission amounts are estimates until final verification is complete. Hey Maddie may exclude ineligible transactions, investigate fraud, and disqualify participants who violate program rules.

If multiple creators tie for the highest number of qualified paid signups, the grand prize pool is split equally among the tied creators, as described in the Official Rules.

7.4 Promotional content

Approved creators must publish truthful content and clearly disclose their material relationship with Hey Maddie. To be eligible for payouts under the Founding Creator Challenge, each approved creator must publish at least one qualifying TikTok of 45+ seconds during the challenge, as described in the Official Rules. Creators may not make false, misleading, or guaranteed earnings claims, and must comply with applicable platform, advertising, and sponsorship rules.

8. AI assistant disclaimer

Maddie uses artificial intelligence. Outputs may be inaccurate, incomplete, outdated, or inappropriate for your situation. You are responsible for reviewing important information and decisions before relying on them.

Maddie is not a substitute for professional advice. The Service does not provide medical, legal, mental-health, tax, or investment advice. Do not use Maddie for emergencies. If you or someone else is in crisis or immediate danger, contact local emergency services (for example 911 in the United States) or a trusted person right away.

Money and health dashboards are manual trackers based on information you provide. They do not connect to banks, wearables, electronic health records, or medical providers, and they are not financial or clinical products.

9. Your content

You retain ownership of the content you submit to the Service, including messages, dashboard entries, profile notes, and uploaded photos ("Your Content"). You grant Hey Maddie a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use Your Content as needed to operate, maintain, secure, and improve the Service and to provide features you request (including AI processing and memory).

You represent that you have the rights necessary to submit Your Content and that Your Content does not violate these Terms or applicable law.

10. Google & third-party services

Optional integrations (including Google) and third-party services (including SMS providers, payment processors, hosting providers, and AI providers) are subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.

If you connect Google, you authorize Maddie to access and act on your connected Google account within the permissions you grant and the actions you request. You can disconnect Google at any time from the dashboard.

Our use of Google user data complies with the Google API Services User Data Policy, including Limited Use requirements.

11. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, fraudulent, or abusive purpose
• Harass, threaten, exploit, or harm others, or attempt to obtain emergency or professional services through Maddie alone
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse engineer, scrape, or overload the Service except as allowed by law
• Use the Service to send spam or unsolicited bulk communications
• Misrepresent your identity or your authority to use a phone number, email address, or Google account
• Interfere with security, billing, task limits, or other protective measures
• Use the Service in a way that violates carrier rules, Google policies, Stripe rules, or other third-party terms applicable to your use

We may investigate and take action, including suspending or terminating access, if we believe you violated these Terms.

12. Intellectual property

The Service, including software, design, branding, and content we provide (excluding Your Content), is owned by Hey Maddie or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.

"Hey Maddie," "Maddie," and related marks and logos are trademarks of Hey Maddie. You may not use them without our prior written permission.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEY MADDIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HEY MADDIE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the fullest extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless Hey Maddie and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or applicable law.

16. Suspension & termination

You may stop using the Service at any time. You may cancel a paid subscription through the billing portal. You may request account or data deletion by contacting support@heymaddie.app.

We may suspend or terminate your access immediately if you violate these Terms, if required by law, if your SMS consent is withdrawn in a way that prevents delivery of the Service, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnity.

17. Changes to the Service or terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be communicated by SMS, email, or in-product notice where appropriate. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Except where prohibited by law, you agree that courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

19. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver. Failure to enforce a provision is not a waiver of the right to do so later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries. These Terms do not create rights for any third party except as expressly stated.
